GENERAL TERMS AND CONDITIONS OF CANVAS FURNITURE

§ 1. Definitions

Unless defined elsewhere in these General Terms and Conditions (hereinafter: "Terms"), capitalized terms shall have the following meanings:

Annex
The annex regarding product conformity attached to these Terms, forming an integral part thereof.

Service
All actions comprising a service provided by Canvas furniture to the Customer.

Customer
Any party entering into an Agreement with canvas furniture for the purchase of a Product or Service.

Delivery
Transfer of possession of the Product to the Customer or, in case of retention of title, placing the Product at the Customer's disposal, or the provision of a Service.

Agreement
The purchase agreement between Canvas furniture and the Customer for the purchase of a Product or provision of a Service.

Consumer Customer
A Customer who is a natural person entering into an Agreement with Canvas furniture for non-business purposes.

Parties
Canvas furniture and the Customer.

Product(s)
Furniture items, accessories or components thereof purchased by the Customer from Canvas furniture, including dining tables, chairs, sofas, etc.

Canvas furniture
The private company Canvas furniture., registered at 6039BX Stramproy, Chamber of Commerce number 96361247, VAT number NL005206069B41.

Business Customer
A Customer acting as a legal entity in the exercise of a profession or business.

§ 2. Applicability

These Terms apply to and form part of all quotations, offers and Agreements through which Canvas furniture supplies goods and/or services to the Customer.

Any general or special terms and conditions of the Customer, by whatever name, are expressly excluded.

These Terms may only be deviated from by written and explicit agreement between the Parties.

Canvas furniture is only bound by agreements that have been recorded and/or confirmed in writing.

Canvas furniture reserves the right to unilaterally amend these Terms. Amended Terms shall become effective upon notification to the Customer.

These Terms are without prejudice to any rights Canvas furniture may have under applicable law.

§ 3. Quotations, Offers and Agreements

All quotations, offers and other communications by Canvas furniture are non-binding unless expressly stated otherwise in writing. Customer orders and acceptances of quotations/offers are irrevocable.

All product images, specifications and other information are indicative. Canvas furniture cannot guarantee exact color matching between displayed and actual products. Canvas furniture is not liable for inaccuracies on the Website.

The Customer warrants the accuracy and completeness of all information provided to Canvas furniture, except for obvious typographical errors. The Customer indemnifies Canvas furniture against third-party claims relating to provided information.

For in-store, telephone, email or other channel purchases, the Agreement is formed when Canvas furniture confirms acceptance in writing.

For online purchases, the Agreement is formed upon electronic acceptance by the Customer, followed by immediate electronic confirmation from Canvas furniture.

The Agreement includes a description of the purchased Product/Service. The Agreement content is determined by the written contract or, absent such contract, by the quotation/offer.

§ 4. Execution of the Agreement

Canvas furniture shall execute the Agreement to the best of its knowledge and ability.

§ 5. Delivery

Products will be delivered within 14 calendar days after Agreement formation, unless otherwise agreed. If delivery becomes impossible, the Customer may request: (i) refund or (ii) replacement with equivalent product.

Any stated delivery period is indicative. Canvas furniture will promptly notify the Customer of any anticipated delays.

Delivery occurs via home delivery after scheduling with Canvas furniture's logistics partner (Postnl). Delivery costs are specified on the Website.

All furniture is delivered unassembled in flat-pack form. The Customer is solely responsible for:
- Assembly of the product following the provided instructions
- Ensuring proper tools and adequate space for assembly
- Verifying all components are present before beginning assembly

Note: Missing or damaged parts must be reported within 72 hours of delivery to qualify for replacement.

The Customer warrants accessible delivery locations. Additional costs for difficult access (e.g., special equipment) are borne by the Customer.

Canvas furniture and its carriers may abort delivery if deemed unsafe, with all costs borne by the Customer.

Canvas furniture is not liable for transport damage occurring beyond the initial entry point.

§ 6. Return Policy

Consumers may return in-stock items within 14 days of receipt by emailing sales@canvas.furniture . After confirmation, items must be returned within 14 days. Refunds are processed within 14 days of receipt. Return shipping costs are the Customer's responsibility.

During the return period, Customers must handle products with care and only unpack as necessary for inspection. Products must be returned in original undamaged packaging.

We encourage you to personalize our furniture – that's why we deliver it to you as a blank canvas. However, once customized (painted, stained, upholstered, or otherwise altered), the product cannot be returned or exchanged.

§ 7. Prices, Invoicing and Payment

All prices on the Website and in Stores are in EUR including VAT.

All orders require full payment upon ordering.

Alternative payment arrangements may be made with Customer consent.

§ 8. Right of Withdrawal

Consumer Customers may withdraw from in-stock online purchases within 14 days of receipt by submitting a withdrawal request via the website contact form. After confirmation, products must be returned within 14 days in original condition.

Refunds are issued within 14 days of receipt. Return shipping costs are the Customer's responsibility.

Customers are liable for value reduction due to improper handling/packaging.

§ 9. Warranty

Canvas furniture warrants that Products possess the qualities expected under normal use per the Agreement. For non-conforming Products, Customers may request repair/replacement, or alternatively price reduction/termination.

Conformity requirements depend on product nature and specifications in the Annex. Scratches, wear, cracks, stains etc. from normal use do not constitute non-conformity.

Canvas furniture covers warranty-related shipping costs to the original delivery address.

36-month warranty applies when:

  • Usage/maintenance instructions (Annex/Website) are followed
  • Damage is reported within 2 business days after delivery
  • Damage isn't from improper use

Exclusions:

  • Damage from circumstances beyond Canvas furniture's control
  • Improper use/maintenance
  • Self-assembly damage

§ 10. Modifications

Product modifications are allowed within 24 hours of order confirmation for online purchases, unless quality/quantity is affected.

Delivery address changes are possible until carrier scheduling.

§ 11. Liability

Canvas furniture is not liable for:

  • Website/Store inaccuracies
  • Product use damages

Total liability for attributable failure is limited to the Agreement price, except for wilful misconduct.

Claims expire 12 months after arising unless legal proceedings begin earlier.

Customer indemnifies Canvas furniture against third-party claims related to the Agreement.

§ 12. Retention of Title

Ownership transfers only upon full payment.

§ 13. Force Majeure

Canvas furniture may suspend performance during force majeure without liability, including:

  • Strikes
  • Carrier failures
  • Pandemics
  • War
  • Government measures
  • Other uncontrollable events

§ 14. Intellectual Property

All IP rights (including copyrights, designs) in materials remain Canvas furniture's exclusive property. Unauthorized use is prohibited.

§ 15. Personal Data

Personal data is processed per Canvas furniture's Privacy Policy and GDPR. Customer grants permission for social media sharing of product photos tagged with #MyCanvas #customizeyourcanvas

§ 16. Transferability

Customers may not transfer Agreement rights/obligations without written consent. Canvas furniture may freely transfer rights/obligations.

§ 17. Complaints

Complaints must be submitted via website contact form within 30 days of discovery, with detailed description. Canvas furniture aims for prompt resolution.

For delivery complaints, contact the carrier directly.

§ 18. Miscellaneous

If any provision is invalid, remaining provisions remain effective. Parties will negotiate replacement terms preserving original intent.

§ 19. Governing Law and Disputes

Dutch law governs, excluding CISG. Disputes are submitted to Roermond courts, except Consumers may choose competent court within 1 month of Canvas furniture invoking this clause.

Effective Date

These Terms enter into force on 26 March 2025.

Wood Furniture Specifications

Dimensions & Construction

Premium Grade Polish pine wood
We use top-grade Polish pine with minimal knots. While Grade A represents the highest quality with little to no knots, impurities may still be present - this is characteristic of genuine wood. The timber used for our tables and furniture is 100% FSC certified. The wood grade does not compromise the natural properties of the material.

Natural Wood Characteristics

Sensitivity to Humidity, Moisture, Heat & Temperature Fluctuations
Wood is a living material that naturally responds to:

  • Humidity/moisture levels
  • Heat exposure
  • Temperature variations
  • Light exposure

Potential Effects Include:

  • Cracking/splitting
  • Warping/bending
  • These occur when environmental conditions change dramatically

Moisture Damage:
Exposure to liquids or heat may cause:

  • Moisture penetration beneath finishes
  • Stain formation
  • Discoloration rings (typically from improper use)

Finish & Wear

No Complete Protection Against Scratches/Wear

  • Surface scratches/wear are normal with use
  • Can be minimized with coasters and placemats

Cleaning Caution:
Harsh cleaners or corrosive substances may damage finishes, causing:

  • Permanent stains beneath coatings
  • Discoloration
  • Such damage is considered user-induced

Care Recommendations

  1. Climate Control:
    • Maintain 40-60% humidity (ideal: 55%)
    • Avoid extreme temperature swings
  2. Daily Protection:
    • Always use coasters/placemats
    • Apply Osmo maintenance spray regularly
  3. Cleaning:
    • Dust frequently
    • For deeper cleaning:
      • Damp cloth only
      • Immediate drying

Important Notes

The following are considered normal and not manufacturing defects:

✓ Effects from:

  • Humidity/temperature changes
  • Sunlight exposure
  • Moisture contact

These characteristics reflect wood's natural behavior and cannot be prevented by Canvas furniture
